By ordinary resolution passed via ballot, the ordinary resolution to amend the Company's employee stock ownership plan ("ESOP") to provide that any increase to the Company's contributions to the ESOP may not be made without the approval of the shareholders of the Company as further described in the management information circular and proxy statement of the Corporation dated February 2, 2024.
